The following terms and conditions stand as the terms between an advertiser and DIYadsOnline.com and have to be accepted before submitting an ad to DIYadsOnline.com for publishing on its network. Services This Agreement confirms that you have engaged DIYadsOnline.com to provide its self serve display advertising services package. Creation of Customized Ads To create advertiser content, use the customizable ad template available at DIYadsOnline.com for producing your customized version. You are not authorized to change the templates, to display the templates or authorize anyone other than DIYadsOnline.com to do so, or use the templates in any other way unless explicitly approved by DIYadsOnline.com in writing. You do not have rights to posses the templates or your customized ads. Advertiser Content "Advertiser Content" means any content that you upload or otherwise provide to DIYadsOnline.com under this Agreement. "Advertiser Content" may include text, logos, images, and your own completed ads (however the template should not be replicated in its entirety in your completed ad). "Advertiser Content" also includes content that you have made publicly available through other sources, such as your website. All Advertiser Content remains your sole and exclusive property. Advertisers Representations; Indemnification Advertisements are accepted upon the representation that Advertiser has the right to publish the contents of the advertisement without infringing the rights of any third party and without violating any law. In consideration of such publication, Advertiser agrees, at its own expense, to indemnify, defend and hold DIYadsOnline.com as harmless, and its employees, representatives, agents and affiliates, against any and all expenses and losses of any kind (including reasonable attorneys' fees and costs) incurred by DIYadsOnline.com in connection with any claims, administrative proceedings or criminal investigations of any kind arising out of publication of the advertisement and/or any material of Advertiser to which users can link through the advertisement (including without limitation, any claim of trademark or copyright infringement, defamation, breach of confidentiality, privacy violation, false or deceptive advertising or sales practices). Your Representations and Warranties The display ads will remain in use till the time set for the distribution and the amount of package it is paid of. Payment Advertisers must pay the full advertisement amount in advance for the advertisement to be published online. Renewal Any renewal of advertisements shall be at the sole discretion of DIYadsOnline.com. Pricing for any renewal period is subject to change by DIYadsOnline.com from time to time. Banner Display Incase your Campaign is running alongwith other Current Campaigns, your banner will be displayed in a random loop. No Assignment or Resale of Ad Space Advertiser may not resell, assign or transfer any of its rights hereunder, and any attempt to resell, assign or transfer such rights shall result in immediate termination of this contract, without liability to DIYadsOnline.com Termination of Campaign DIY ads reserves the right to terminate any campaign without notice, should the campaign deemed to be inappropriate. Right to Reject Advertisement DIYadsOnline.com reserves the right to reject or cancel any advertisement, URL link, space reservation or position commitment, at any time, for any reason whatsoever. Refund Policy No refund will be be made for any cancellations of the campaign after confirming the order. Construction No conditions other than those set forth in these Standard Terms shall be binding on DIYadsOnline.com unless expressly agreed to in writing by DIYadsOnline.com. Confidentiality You agree not to disclose to any third party DIYadsOnline.com's pricing and other business terms that are disclosed to you in relation to this Agreement. This paragraph will survive any cancellation of this Agreement.
